How to Play: From January 1 through December 31, 2003, each eligible order placed over the VisionWeb network will constitute one entry into a random drawing. Entries may also be submitted by sending a postcard containing the message "VisionWeb CashBack Giveaway Sweepstakes Entry", the name, address, telephone number, and statement that the entrant is 18 years of age or over, to VisionWeb LP, Attn: Customer Service-Sweepstakes Entry, 8601 FM 2222 Building 3, Suite 300, Austin TX 78730. Mail entries must be sent to the address above, postmarked by December 15, 2003, and received by VisionWeb L.P. no later than December 31, 2003. Hand-delivered entries will not be accepted

VisionWeb L.P. and its affiliated companies are not responsible for errors, omissions, interruptions, deletions, defects in part or whole, delays in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for any technical or non-technical network, telephonic, electronic, computer, hardware or software malfunctions of any kind, or inaccurate or partial transmission of or failure to receive entry information by VisionWeb L.P. on account of technical problems or traffic congestion on the Internet, at any web site or any combination thereof. VisionWeb L.P. and its affiliated companies are not responsible for any injury or damage to entrant's or any other person's computer related to or resulting from playing or downloading any materials in the Giveaway, or for mail-in entries that are lost, late, misdirected, damaged, incomplete, altered, illegible or postage-due. All entries become the property of VisionWeb L.P. and will not be returned. VisionWeb L.P. reserves the right to cancel temporarily or permanently the electronic method of Giveaway entries if it becomes technically corrupted.

Participants will be disqualified, at the sole discretion of VisionWeb L.P., if they attempt (i) to enter in the Giveaway through any means other than as described in these Official Rules; or (ii) to disrupt the Giveaway, circumvent the terms and conditions of these Official Rules, or in any way tamper with the Giveaway. If either of the above occurs, VisionWeb L.P. reserves the right to remedy any such action, disruption, or circumvention, and to seek damages from the participant to the fullest extent permitted by law.

Official Rules: By participating, entrants agree to be bound by these Official Rules and the decisions of VisionWeb L.P., and waive any right to claim ambiguity in the Giveaway or these Official Rules. All decisions regarding the Giveaway, including, but not limited to, selecting winner, will be made by VisionWeb L.P., whose decision shall be final. Prizes and Odds: Ten winners will each receive purchase rebates with a value of up to $500. All winning entries are subject to verification. In the event that a winning entry was generated by an order placed using VisionWeb, the "winner" is considered to be the Eyecare Practice listed as the VisionWeb Customer Business Unit (CBU). Two winners will be drawn from the pool of entries every month. Participants are eligible for the next scheduled drawing following submission of entry, and all subsequent monthly drawings. The sweepstakes will award prizes for the months of January through December 2003. Odds of winning will depend on actual number of eligible entries received. Limit one monthly prize per person. Any order which is a winning entry shall not be considered an entry for subsequent drawings. Prizes are payable as a $10 rebate for each subsequent order placed using the VisionWeb network during the ninety day period following verification of the respective winning entry (the "Expiration Date"), up to 50 orders. A check for the amount of the rebates used will be mailed to each winner upon the earlier of the placement of the 50th order after winning or the Expiration date.

Winners will be selected in an electronically randomized manner in drawings held the first Monday of every month for the previous month's two winners. If VisionWeb L.P. determines in its sole discretion that there is any suspected or actual electronic tampering with the giveaway or if technical difficulties compromise the integrity of the giveaway, it reserves the right to void the entries at issue, and/or terminate the giveaway and conduct a random drawing to award the prizes using all eligible entries received as of the termination date. Attempts to contact the winner will begin on the day of the drawing, and the winner has 10 days from the date of notification to contact VisionWeb L.P. to claim their prize. Winner will be required to sign and return an affidavit of eligibility and liability/publicity release within 10 days of notification. Failure to return the affidavit in the time noted will result in disqualification of the entry and the random selection of an alternate winner. Any winner who does not comply with the Official Rules will be disqualified and an alternate winner will be selected. Return of any prize or prize notification as "undeliverable" will result in disqualification and an alternate winner will be selected.

Prize winner will be notified by phone, U.S. mail, and/or email using the contact information provided on the entry and VisionWeb L.P. is under no obligation to notify winner by any means other than as described above. If a winner's contact information (as provided on the entry) is no longer valid, the entry will be disqualified and an alternative winner will be selected. If a prizewinner entered by mail, the notification will be sent to the address that was printed on the mail-in entry. VisionWeb L.P. is not responsible for notifications that are misdirected or not received because of: i) e-mail addresses or mailing addresses that are no longer correct, or ii) any other reason not within the normal control of VisionWeb L.P

No transfer of prizes permitted. No prize substitutions except as provided herein. Sponsor reserves the right to substitute prizes with similar items of like value or cash alternative should featured prize become unavailable. By accepting the prize, winner consents to the use of his/her name, photo, voice, likeness and/or biographical information for advertising and promotional purposes without further compensation, except where prohibited.

Employees of VisionWeb LP, their partner companies Jobson Publishing LLC, Essilor of America, Inc., Johnson & Johnson Vision Care, Inc., Advanced Medical Optics, Marchon Eyewear, Inc., all supplier companies on the VisionWeb eyecare network, respective affiliates, their advertising or promotion agencies or other individuals engaged in any way in the development, production or distribution of the sweepstakes, and persons who are immediate family members of, or who live in the same household as, any person in any of the preceding categories are not eligible. By entering this Giveaway, you represent to VisionWeb L.P. that you meet the above requirements.

By participating in the Giveaway, you agree to release and hold VisionWeb L.P., and its directors, officers, employees and agents, and all prize suppliers harmless from any and all losses, damages, rights, claims, and actions of any kind in connection with the Giveaway or any product purchased, or resulting from acceptance, possession, use or misuse of any prize, including, without limitation, personal injuries, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy, whether suffered by you or a third party. The use of information provided by entrants shall be governed by the privacy policy for the sweepstakes, identified on the entry form screen. This Giveaway is void wherever prohibited or restricted by law and is subject to all applicable federal, state and local laws and regulations. Winner is solely responsible for all applicable federal, state and local taxes and fees.

Winners List: The name and/or photo of each of the winners of the Giveaway will be published on the VisionWeb website following winner notification and verification.
